Terms of Sale

These Terms of Sale govern the purchase of a subscription to Core Studio (the “Software”) from CORE ERP BUSINESS SOLUTIONS INC. (“we”, “us”), an Ontario, Canada corporation located at 310 Longworth Ave, Ottawa, ON K1T 0T8.

1. Subscription

  • Price: per-seat rates from US$199 per developer per month, plus applicable taxes (computed and collected via Stripe Tax; GST/HST applies where required). Band organization fees and the full schedule are published at https://www.coreerp.dev/studio/pricing/. Enterprise (30+ seats) is a custom annual agreement.
  • Billing: the contract is annual; recurring charges are invoiced and paid monthly, in advance, via Stripe Billing. Your subscription renews at the annual term unless cancelled per Section 3.
  • Seats: each seat entitles one named user to activate the Software on up to 3 machines concurrently. Deactivating a machine frees its seat immediately.

2. Trial

  • New customers receive a 15-day full-feature trial. No free tier exists; continued use after the trial requires an active paid subscription.
  • Payment method required at trial registration per the checkout flow; you are not charged until the trial ends, and you may cancel before then at no cost.

3. Cancellation and refunds

  • Cancellation at term end. Cancellation takes effect at the end of the annual term; the Software remains usable until then.
  • No partial-term refunds. Except where required by applicable law, amounts already paid for the current annual term are not refunded or prorated.
  • Failed payments enter a retry (dunning) sequence with a 7-day grace period before the subscription lapses.

4. License delivery and activation

  • The Software activates with a license key delivered by email after purchase.
  • Offline (air-gapped) activation is available: a signed offline license file (90-day validity, machine-bound or unbound) can be generated from the customer portal.

5. Acceptable purchase use

  • Each subscription is for one named human user. Sharing a subscription between multiple people is not permitted; organizations purchase one subscription per user (enterprise pooled-seats arrangements are available by agreement).

6. Governing terms

Your use of the Software itself is governed by the End User License Agreement (EULA). These Terms of Sale govern the commercial transaction only. Quebec consumers and other mandatory consumer-protection rights remain unaffected where they apply by law.
