End User License Agreement

This End User License Agreement (“Agreement”) is between CORE ERP BUSINESS SOLUTIONS INC. (“Licensor”) and you, the individual who installs or uses Core Studio (the “Software”). By installing or using the Software you accept this Agreement.

1. License grant

Subject to an active subscription or trial, Licensor grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on up to 3 machines concurrently, activated under your individual license key, for the purpose of developing software for Microsoft Dynamics 365 Finance & Operations and related projects.

2. Restrictions

You may not: (a) share your license key or allow another person to use your subscription; (b) sell, rent, sublicense, or redistribute the Software or your license; (c) circumvent activation, licensing, or machine-limit mechanisms; (d) remove or alter proprietary notices or the Software’s honesty/unavailability notices; (e) use the Software in violation of applicable law. Reverse engineering is prohibited except to the extent such restriction is prohibited by applicable law.

3. Trial

A 15-day trial grants the same rights as a paid subscription for the trial period. At trial end without conversion, this license terminates automatically.

4. Activation and offline use

The Software validates license status online when connected. For disconnected (air-gapped) environments, a signed offline license file (90-day validity, machine-bound or unbound) is available from the customer portal. License enforcement behavior may be enabled in a future release with reasonable notice; current behavior is described honestly in the product documentation.

5. Updates

The Software receives updates through a signed update channel. Updates are licensed under this Agreement.

6. Third-party components and Microsoft trademarks

The Software drives Microsoft’s own toolchain (e.g., the X++ compiler) where required; your use of Microsoft components remains governed by your Microsoft licenses. Microsoft, Dynamics 365, Visual Studio, and Azure are trademarks of the Microsoft group of companies; this Software is an independent product and is not affiliated with or endorsed by Microsoft. The Software also includes open-source components listed in its about/attribution surface.

7. AI features

AI assistance in the Software uses providers and credentials you supply under your own agreements. Mutating AI actions require your explicit approval by design; you remain responsible for reviewing generated code before use.

8. Warranty disclaimer and limitation of liability

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL LICENSOR’S AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing in this section limits liability that cannot be limited by law.

9. Term and termination

This Agreement lasts while your subscription or trial is active. It terminates automatically on expiry without renewal or on breach of Section 2. On termination you must stop using and uninstall the Software.

10. Governing law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there.
